Mithra is looking for a Legal Counsel to join the company at Mithra headquarter (Liège).



At Mithra, the Legal Counsel acts as a expert and provide legal expertise and counsel to individuals and organizations. The Legal Counsel supervise the preparation of defense in litigation, assists in court trials, recommending wheter a case should be tried or settled, and provide research and guidance on legal questions or issues.

As a Legal Counsel, you will work on a wide variety of interdisciplinary cases and contacts with the all company, you will be at the heart of the company’s projects. You will bring your expertise in law and legal matters as Legal Counsel to the benefit of a dynamic legal department.



Mithra is a company in full evolution which is facing many challenges in a changing environment, in order to create a legal team with the height of the challenges to be met. The role will therefore evolve according to the needs and evolution of the company.





  • Corporate General Matters: periodical reporting, corporate housekeeping, capital transactions or commitments (such as capital increase, corporate restructuring such as mergers, acquisitions, demergers, contribution of business units, - drafting, reviewing and elaboration of those deals), including negotiations and putting in place agreements;
  • Contracting process (commercial agreement): Draft, negotiate and/or review broad array of contracts inclusive of licenses, product purchases, service agreements of all sort (intragroup and vis a vis third parties), distribution agreements, licence and supply agreement, intragroup loans and financing, MOU, development agreements, supplier/vendor agreements, NDAs and so forth to address the legal needs associated with varied activities
  • HR Matters: provide legal assistance to human resources team for employment matters and contract and policy drafting for employment and other relating matters. Assess periodically the business need for that particular legal skill;
  • Ensuring a legal watch linked to corporate law, specific regulations applicable to the company and its field of activity. Synthesizing the information gathered and disseminating it to the people/departments that have an interest in this information;
  • Litigation: liaise with and manage external lawyers/law firm for legal cases and disputes resolutions, elaboration of settlement agreement, implementation of the litigation’ strategy within the Company and the stakeholders, reporting of litigation aspects to the Management;
  • Advise on risks and liabilities of proposed commercial transactions and devise creative and practical legal solutions to meet business objectives;
  • Develop and improve corporate policies and procedures. Ensure contracts comply with all relevant policies and procedures ;
  • Provide legal opinions and consultations, mainly in corporate law;
  • Carry out regular reporting on the files to the Legal Manager and more generally to the team
  • Compliance : drafting and ensuring the company’s compliance with overall policies, following and implementing corporate governance policies, monitoring the legal landscape evolution with respect to those policies, drafting supporting material linked to the training, permanent training and information of the personnel, interaction with the FSMA, drafting advices linked to the compliance practice (general, specific and strategic), review of press release in light with compliance practices, provide guidance to the Company and its personnel with respect to compliance policies;



  • Master’s degree in Law
  • Minimum three years of relevant experience in business environment or three years bar experience;
  • An interest and/or specialisation in corporate law, compliance and commercial contracts is an asset
  • Fluent written and spoken English and French
  • Pragmatic approach and a hands-on-attitude
  • Excellent and confident presentational skills, both written and oral
  • Well organized and rigorous person
  • Good research skills
  • Ability to create legal defensive or proactive strategies
  • Good eye for detail
  • Capacity of handling confidential information in a discreet manner and highest ethical standard;
  • knowledge of rules and regulations pertaining to pharmaceutical field, promotion and commercialization of medicinal products, market access, and data protection is an asset.
