For one of our clients, a service company based in the region of Liege, we are looking for a self-employedCorporate Legal Counsel for an assignment of 3 months.



The Interim Manager’s key responsibilities will include:

  • Participate in corporate projects (for example, reorganization)
  • Coordinate and take change of "corporate" notarial deeds (incorporation, mergers, contributions, demergers, other modifications of statutes, etc.)
  • Draft general shareholders’ meetings, ordinary meetings approving the annual accounts, shareholders’ decisions, and decisions of the Board of Directors, and monitor and carry out the renewal of the various mandates
  • Be in contact with the various local partners to ensure the correct execution of Corporate Housekeeping acts
  • Help the Corporate & HR Legal Support team within the scope of transaction files (joint ventures, acquisition, disposal). During an acquisition, participate in the due diligence
  • Help and provide legal support to the HR department: draft templates for employment contracts and special agreements in labor law, regulations and policies (Employment Regulation, Car and Phone Policy, etc.), draft acts
  • Help the various departments to conclude service agreements (consultants, freelancers, recruitment)
  • Be able to take the place of the Corporate Paralegal when the emergency or need justifies it.



The key qualifications required for this interim Corporate Legal Counsel job:

The Interim Manager has a Master’s degree in law with an experience in international laws (France, Spain, USA, etc.). He/She has an experience of minimum 10 years in a similar role and has knowledge in legal management of the corporate aspects of a company and interest in financial and administrative aspects of the corporate world. The ideal candidate is accurate and thorough and is able to adapt and organize. He/She has very good communication skills and assertiveness. The Interim Manager is fluent in French and has a good command of Engish, at least in writing.
