THE SCOPE

As part of its sustained growth, Gaming1 is looking for a LEGAL COUNSEL – Corporate & HR Legal Supportto join its legal team.

The Legal Counsel provides versatile legal support within the Corporate & HR Legal Support team. They are responsible for implementing (writing, coordination, implementation, potential negotiation) a series of legal documents, mainly within the domain of company, corporate and labor law, and for advising the various Belgian and international companies of the Gaming1 Group in a proactive and strategic way.

The Legal Counsel carries out regular reporting to the Corporate & HR Legal Manager and works together and collaborates with all the other members of the Legal & Admin department.

YOUR ROLE
  • Participate, as legal support, in corporate projects at the team level (for example, reorganization)
  • In collaboration with the notary’s office, coordinate and take change of “corporate” notarial deeds (incorporation, mergers, contributions, demergers, other modifications of statutes, etc.)
  • Draft general shareholders’ meetings (transfers of headquarters, mandates of directors or commissioners, etc.), ordinary meetings approving the annual accounts, shareholders’ decisions, and decisions of the Board of Directors, and monitor and carry out the renewal of the various mandates
  • Be in contact with the various local partners to ensure the correct execution of Corporate Housekeeping acts and, if needed, help with the coordination of these acts and implement the necessary contracts within the scope of the Corporate Housekeeping.
  • Help the Corporate & HR Legal Support team within the scope of transaction files (joint ventures, acquisition, disposal). During an acquisition, participate in the due diligence
  • Help and provide legal support to the HR department: draft templates for employment contracts and special agreements in labor law, regulations and policies (Employment Regulation, Car and Phone Policy, etc.), draft acts (e.g., granting perks CCT90), etc.
  • Help the various departments to conclude service agreements (consultants, freelancers, recruitment): develop the templates according to needs and aid the negotiation of individual agreements
  • Be responsible for the management of certain litigations within the team and be responsible for legal monitoring, connected to the law mentioned above
  • Follow up on debt collection with the support of partner law firms
  • Be able to take the place of the Corporate Paralegal when the emergency or need justifies it.

YOUR PROFILE
  • Master’s degree in law or a double Master’s degree in law/management is a plus, as well as experience in international laws (France, Spain, USA, etc.)
  • Previous experience in a similar role.
  • Knowledge/particular interest in legal management of the corporate aspects of a company and interest in financial and administrative aspects of the corporate world

  • Communication and assertiveness
  • Command of English, at least in writing (minimum C1). Knowledge of Dutch is a plus
