To strengthen our Business Development and Mergers & Acquisitions (BD and M&A) team, based in our headquartersin Anderlecht, Belgium, we are looking for a talented individual to fill the position of: Finance BD & M&A Lead.
Your department
- The Business Development (BD), Mergers & Acquisitions (M&A) and Alliance & Integration management (A&IM) team is part of the Corporate Development & Finance unit, a global function within UCB.
- The mission of BD, M&A, A&IM team is to seek and execute external growth initiatives to address UCB’s strategic priorities.
- The key activities of the team are the identification, the evaluation, the structuring, the negotiation and closing of strategic transactions with external partners and the subsequent management of alliances.

- Be a key enabler for the achievement of the UCB’s impact on patients’ lives, growth and long‐term sustainability;
- Utilize yourtransactional expertise, business insight and industry knowledgeto strengthen and expand the BD, M&A and A&IM ability to execute, manage and maximize appropriate transactions for UCB;
- Understand, challenge and finetune business cases assumptions to ensure solid and accurate assessment and sound decision making;
- Take a proactive role in informing and finding solutions to financial issues during negotiations; act as a trusted and strong member of the Deal Teams, including face‐to‐face negotiations with external parties;
- Lead and coordinate financial diligence including tax and accounting matters, in cooperation with other internal Finance functions and external advisors. Work in close collaboration with Transactions Teamand under the accountability of the Heads of BD, M&A and Out‐licensing to ensure deal structures and terms remain consistent with corporate objectives, Patient Value Units strategy and transaction mandate.
You willcontributein these major areas:
- Provide independent and high‐quality Finance Business Partnering supportfor all transactions in relation with BD, M&A and A&IM activities to ensure appropriate and accurate financial information and analysis in support of transaction execution;
- Take responsibility and become accountable for the financial evaluation (and the related financial models) of all transactions as well as assessing their impact on UCB´s financials;
- Lead and coordinate all aspects of financial valuation from first evaluation, business case development, scenario building to financial transaction structuring, based on external and internal diligence and cross‐functional input, regardless of therapeutic field, stage of development and type of transaction;
- Lead financial analyses and models underpinning deal terms; analyze deal economics quickly to identify key value drivers and look at key sensitivities. Preparation of the business case with specific responsibility for financial aspects including P/Ls, cash flow analyses, sensitivity analyses, and other relevant financial metrics forpresentation to UCB Senior Management;
- Make recommendations for financial structure and terms to maximize value to UCB while minimizing risk across the deal life cycle, and ensure consistency with corporate strategy and transactions mandate;
- Support term sheet and contract development, terms and deal negotiation;provide accurate, fact‐based and benchmarked assessmentof all transactions as a standalone and their potential impacts for UCB’s financials, and benchmarked input on deal structuring, and support term.
Interested? For this position you’ll need the followingeducation, experienceandskills:
- You hold a bachelor or master’s degree, ideally in Finance, Accounting or Economics, and have at least 5 years’ experience in Business Finance or other relevant business experience directly related to biotech / pharma industries;
- You are fluent in English;
- You have developed an in‐depth knowledge/experience of financial business modeling, forecasting and analytics for decision support. Ideally with experience in BD and M&A business modeling and a solid understanding of BD, M&A and Licensing;
- You developed the ability to challenge constructively and are capable to work efficiently with cross-functional and cross-cultural teams as well as autonomously;
- You thrive the most when working in a structured, organized and resilient manner, and have the ability toprovide high level of accuracy;
- You are able to build trustful and sustainableinternal and external relationships, and interact with Senior Executives;
- You are self-motivated, able to prioritize and to adopt a pragmatic problem-solving approach in order to work under pressure and strict deadlines;
- You share with UCB a genuine care and motivation to improve patient’s lives.
