Just because we make our own rules, it doesn’t mean we don’t follow the rules. As Legal Counsel - Corporate, you will be part of the Corporate, Transactional Legal & Governance Tribe. You will assist and advise the broad area of stakeholders that our team supports within the Telenet Group (as a listed group): from corporate over governance and compliance advice, to M&A and transactional support.

Responsibilities

Concretely, you will deal with files and issues mainly in the domain of corporate law, in the broad sense of the word. With a special focus on governance related matters, complemented by M&A:

• Supporting the Telenet group in its corporate housekeeping. This includes preparing and attending boards of directors and shareholder meetings of subsidiaries and/or participations, implementing director changes, drafting corporate law documentation (e.g. on mergers and dissolutions, UBO registrations), updating delegation decisions, following up on publications, etc.
• Advising on all possible ad hoc questions on corporate law in the broad sense (incl. taking into account the Companies and Associations Code, the Corporate Governance Code 2020, FSMA and ESMA guidelines, etc.).
• Assisting on M&A transactions, from reviewing and drafting NDAs, LOI, transaction documentation and post-closing notations, to helping to conduct due diligence.
• Supporting interim and annual external reporting of the Telenet group, with particular focus on its legal aspects.
• Assisting in the implementation of Telenet’s remuneration policy. Review of the remuneration report, management of option plans, registrations, follow-up of capital transactions, repurchase of own shares, etc.
• Assisting in (re)financing transactions and management (drafting, review and follow-up) of various intra-group relationships and agreements, financing and security documentation.
  

In doing so, you will work well with our internal stakeholders within Telenet, in particular Legal & Regulatory, Finance & Tax, Strategy and Corporate Communications, as well as our external stakeholders (such as the FSMA, notary and law firms, KBO, Euronext and Euroclear). In fulfilling your role, you will be able to use the latest digital legal tools.

Of course, you will not do this alone. You will be part of an experienced team of legal professionals who will help and support you. It is therefore important that you have a real "team player" mindset and find it evident to always jump in for each other and work together in order to provide all our stakeholders with smooth, correct and pragmatic legal advice.

Profile

• You are a Master in Law. A relevant additional education is a plus.
• You have a first relevant work experience (of 3–5 years) as a corporate lawyer or attorney, preferably in corporate law.
• You have a very good knowledge of Dutch and English and a good understanding of French.
