Senior Transaction Manager M&A (M/F)
Belgium Based
FUNCTION
The Senior Transaction Manager is in charge of the entire property acquisition process and the management of all post acquisition issues arising from Cofinimmo’s activity.
- develops/challenges business plans, due diligences and financial implications of capex and acquisition propositions.
- negotiates transaction agreements and report to the management the key elements for making decisions.
RESPONSIBILITIES
Coordinate the acquisition/sales process as from the day the LOI is signed until Closing
- Coordinate due diligence exercise with internal teams (Legal, Tax, Accounting & Control, Technical, Operational) and the process with sellers/buyers
- Coordinate internal meetings to ensure appropriate information flow
- Review the operational, technical, legal and tax due diligence
- Evaluate the impact of Due Diligence outcome on pricing
- Review KPI for decision
- Calculate the purchase price;
- Liaise with the seller/buyer’s side to organize the DD process and communicate the DD outcome
- Present DD outcome to the Executive Committee
- Keep track of transaction costs
- Identify cash flow movements at closing
- Liaise with communication team in view of issuance of the Press Release
Challenge Business Plan of acquisitions/mergers
- Review a business plan of the acquisition/merger based on the Due Dilignece Outcome
- Liaise with internal team to assess the impact on the Group financial BP
Perform financial due diligence on target companies
- Review Target financial statements with external advisors;
- Identify adjustments when needed
Negotiate transaction documentation
- Negotiate with counterparties transaction documentation and purchase price
Participate in the integration of acquired assets within the various internal teams
- Organize kick off meetings and information sessions;
- Provide internal team with the appropriate information and documentation;
- Perform follow up on post- closing actions, resulting from SPA or driven by internal efficiency reasons
- Keep track of off balance sheet engagements in relation to the transactions.
PROFILE
Hard Skills
- M&A in depth knowledge min 15 years
- Real estate experience min 10 years
- Financial knowledge
- Detailed knowledge of the languages - French (native) and English (very good) any additional language (ES/IT) is a plus,
- Office automation knowledge MS OFFICE: Word / Excel
